Potencjał wrogich przejęć na Giełdzie Papierów Wartościowych w Warszawie

dc.abstract.enThe aim of this article is to determine the potential of hostile takeovers of companies listed on the Warsaw Stock Exchange by institutional investors. The research will take into account the legal aspects and practical acquisition of control over a listed company. Analyses of the potential of hostile acquisitions will be carried out taking into account the size of the company, dilution of the shareholding, structure and the participation of free float. In particular, the article identifies the most significant limitations in making hostile takeovers. It has been shown that most of such operations could take place in the case of companies belonging to the mWIG40 and sWIG80 indices
dc.abstract.plCelem niniejszego artykułu jest określenie potencjału wrogich przejęć spółek notowanych na Giełdzie Papierów Wartościowych w Warszawie przez inwestorów instytucjonalnych. W przeprowadzonych rozważaniach zostaną uwzględnione aspekty prawne oraz praktyczne przejęcia kontroli nad spółką giełdową. Analiza potencjału wrogich przejęć zostanie przeprowadzona z uwzględnieniem wielkości spółek, rozwodnienia akcjonariatu oraz udziału free float. W artykule w szczególności zidentyfikowano najistotniejsze ograniczenia w dokonywaniu wrogich przejęć. Wykazano, iż najwięcej tego typu operacji mogłoby mieć miejsce w przypadku spółek należących do indeksów mWIG40 i sWIG80.
